Job Purpose:

 

Direct and oversee all legal matters at "Advanced" and its affiliates, providing advice to end user departments in reviewing contracts, participate as required in all decisions e.g. investments having legal implications. Serve as the primary legal advisor to the Company. Effectively lead a team of legal professionals and provide guidance on significant corporate structure matters such as JV partnerships, mergers and acquisitions, etc.

 

Job Description:

 

  • Develop the Legal departmental strategy in line with the functional strategy to ensure vertical alignment and horizontal integration with other interfacing departmental strategies across "Advanced" and its affiliates.
  • Ensure that departmental strategies and related strategic plans are developed and implemented, in line with the vision, mission and strategy of APC and its affiliates.
  • Oversee the consolidation and recommend the Legal and Compliance department budget and monitor financial performance versus the budget.
  • Develop and oversee the implementation of department policies, procedures and controls covering all areas of Legal and Compliance department activity.
  • Update all relevant policies, Charters, Manuals and provide observations and comments to the appropriate Committees.
  • Advise "Advanced" and its affiliates on the legal aspects of Directors and officers’ fiduciary duties and responsibilities.
  • Advise end user departments on legal issues and the litigation risks of possible business decisions, providing preventive counselling with respect to the legal risks associated with business practices.
  • Develop strategy with both inside and outside counsel in response to civil litigation inquiries, regulatory issues related to compliance and cost-effectively manage the resources required to address those matters.
  • Negotiate, draft and implement a variety of complex, multi-party agreements, including mergers and acquisitions, strategic alliances and joint ventures, EPC, sales deeds, leases, related to Commercial and Labor Laws, applicable to the company’s business.
  • Represent "Advanced" and its affiliates in all major / critical key third party negotiations.
  • Coordinate and manage strategic relationships with external legal counsel and law firms and ensure legal services are obtained at reasonable cost.
  • Drive the creation of a portfolio of standardized legal contracts to support the businesses of "Advanced" and its affiliates.
  • Develop, update and manage the legal risk management framework.
  • Support Committees and working teams by identification of legal risks, providing advice on mitigation of legal risks
  • Ensure compliance of all relevant Environmental, Health, Safety and Security management policies, procedures and controls across the Legal and Compliance Function to guarantee employee safety, legislative compliance and a responsible attitude to the Environment

 

Education & Experience:

 

  • Degree in Laws, preferably with a Master’s degree in Commercial /Corporate Laws.
  • At least 7 years relevant experience.
